Terms of Service

These Terms of Service govern your use of the Amadio website (amadio.io) and any consulting services provided by Amadio Consulting ("Amadio", "we", "us"). By accessing our website or engaging our services, you agree to these Terms. Please read them carefully.

Services
Amadio provides Odoo ERP consulting services including implementation, rescue and recovery, training, custom development, managed support, and hosting advisory. Specific services, deliverables, timelines, and fees are defined in a written proposal or statement of work agreed upon by both parties prior to the commencement of any engagement.

Pricing and Payment
All fees are stated in the applicable proposal. Amadio uses fixed-scope pricing wherever possible — you will know the full cost before work begins. Unless otherwise agreed:
- A deposit of 50% is due prior to project commencement
- The remaining balance is due upon delivery of agreed deliverables
- Invoices are payable within 14 days of issue
- Late payments may incur interest at 1.5% per month

Client Obligations
Successful ERP implementation requires active client participation. You agree to:
- Provide timely access to necessary systems, data, and personnel
- Designate a point of contact with authority to make project decisions
- Review and approve deliverables within agreed timelines
- Ensure data provided to Amadio is accurate and lawfully obtained

Confidentiality
Both parties agree to keep confidential all non-public information exchanged during an engagement. Amadio will not disclose your business information, data, or processes to any third party without your express consent, except as required by law. This obligation survives termination of any engagement by 5 years.

Intellectual Property
Upon full payment, you own all custom deliverables created specifically for your engagement. Amadio retains ownership of general methodologies, templates, tools, and know-how developed independently of any specific client. Odoo is an open-source platform licensed under LGPL; its use is governed by Odoo's licensing terms.

Limitation of Liability
Amadio's total liability for any claim arising from an engagement shall not exceed the total fees paid by you for that engagement in the 90 days preceding the claim. Amadio is not liable for indirect, incidental, special, or consequential damages including loss of profit, data loss, or business interruption, even if advised of the possibility. Some jurisdictions do not permit limitation of liability; these limitations apply to the extent permitted by applicable law.

Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute shall be resolved in the courts of Ontario, Canada, unless both parties agree to alternative dispute resolution. For clients in the EU, nothing in these Terms limits your statutory rights under applicable consumer protection or data protection law.
